Core SEO Global – Detailed Website Development Terms & Conditions
Please read these terms carefully. By engaging our services, making a payment, or approving a quotation, you agree to be bound by all clauses below.
1. Advance Payment Requirement
To reserve development resources and initiate the project, the Client agrees to pay a minimum advance payment of 50% of the total project value before any work begins. No development activities shall commence until the advance payment has been received and confirmed.
2. Non-Refundable Booking Amount
The advance payment or booking amount is non-refundable once project planning, consultation, design, development, research, content integration, or any related work has commenced. This is because resources, time, and technical efforts are allocated specifically for the Client's project.
3. Project Commencement
The project timeline will begin only after the advance payment is received and all required project information has been submitted by the Client. Any delays in payment or information submission may affect the delivery schedule.
4. Final Payment Before Delivery
The remaining project balance must be paid in full before the final website files, source code, administrative access, credentials, deployment, or ownership rights are transferred to the Client.
5. Ownership Transfer
Ownership of the website shall transfer to the Client only after full payment has been received. Until then, all design files, code, and development work remain the property of Core SEO Global.
6. Quotation Validity
All quotations issued by Core SEO Global shall remain valid for fifteen (15) days from the date of issuance unless otherwise specified in writing.
7. Taxes and Government Charges
Any applicable GST, government fees, domain registration fees, payment gateway fees, or other statutory charges shall be borne by the Client unless explicitly included in the quotation.
8. Scope Limitation
The project cost covers only the features, pages, and functionality specifically mentioned in the approved quotation. Any additional work outside the agreed scope will require a separate quotation and approval.
9. Additional Features
Requests for additional features, integrations, custom modules, automation systems, or functionality not included in the original scope shall be treated as change requests and billed separately.
10. Client Content Responsibility
The Client is solely responsible for providing all required content, images, logos, product details, pricing information, policies, and business information necessary for website development.
11. Delay Due to Client
If the Client fails to provide required materials, approvals, or feedback within a reasonable timeframe, Core SEO Global shall not be held responsible for any resulting project delays.
12. Accuracy of Information
The Client warrants that all information supplied is accurate, lawful, and up to date. Core SEO Global shall not be responsible for errors resulting from incorrect information provided by the Client.
13. Content Liability
The Client accepts full responsibility for all website content, including text, images, videos, downloadable files, product descriptions, offers, advertisements, and public communications.
14. Independent Contractor Status
Core SEO Global acts solely as an independent website development service provider and does not participate in the Client's business management, operations, sales, marketing decisions, or financial transactions.
15. Business Risk Disclaimer
Core SEO Global does not guarantee business success, revenue generation, lead generation, customer acquisition, sales performance, or profitability through the website.
16. Prohibited Activities
The Client agrees not to use the website for fraudulent schemes, phishing, fake investment opportunities, fake job offers, scams, unlawful financial services, illegal products, copyright violations, or any unlawful activity.
17. Legal Compliance
The Client is solely responsible for ensuring compliance with all applicable laws, regulations, licenses, permits, privacy requirements, and industry-specific obligations.
18. Right to Suspend Services
Core SEO Global reserves the right to suspend or terminate services without notice if there is evidence or reasonable suspicion that the website is being used for illegal or unethical purposes.
19. Domain Registration Charges
Domain registration, renewal, transfer, and related fees are separate from website development charges unless specifically included in writing.
20. Hosting Charges
Web hosting services, server subscriptions, cloud hosting costs, and hosting renewals are separate charges and are not included unless explicitly stated.
21. SSL Certificate Charges
SSL certificates and related security services are separate and may require annual renewal fees.
22. Email Hosting
Business email accounts and email hosting services are charged separately unless specifically included in the quotation.
23. Third-Party Licenses
Premium themes, plugins, APIs, software licenses, SaaS subscriptions, and third-party services required for website functionality shall be paid for by the Client.
24. Payment Gateway Setup
Payment gateway integration may involve additional setup charges, verification requirements, annual fees, or transaction fees payable by the Client.
25. SMS and Notification Services
SMS gateways, OTP systems, bulk messaging services, and notification platforms are not included unless specifically mentioned.
26. WhatsApp Integration
WhatsApp API integrations, official WhatsApp Business API fees, and third-party communication tools require separate setup and subscription charges.
27. Product Limit for E-Commerce Websites
The quoted price includes uploading and configuring up to fifty (50) products, services, listings, or records unless otherwise specified.
28. Additional Product Upload Charges
Uploading products, services, or listings beyond the included quantity will incur additional charges based on the volume and complexity of data.
29. Data Entry Services
Manual data entry, product uploads, inventory management, and bulk content population are separate services and are not included in standard development packages.
30. Database Work
Database design, migration, import/export operations, optimization, cleanup, restructuring, and custom database development shall be charged separately based on project requirements.
31. Project Cancellation by Client
If the Client chooses to cancel the project after work has commenced, no payments made up to that point shall be refunded.
32. Change of Mind Policy
If the Client changes their mind regarding the project, business model, website design, features, or development requirements after project commencement, no refund shall be provided for work already completed.
33. Work Completed Compensation
The Client acknowledges that development time, planning, consultation, coding, design, testing, and project management services have monetary value and are billable regardless of project completion status.
34. Abandoned Projects
If the Client becomes unresponsive for more than 30 days, the project may be marked as abandoned. Any payments already made shall be non-refundable.
35. Re-Activation Fee
Abandoned projects may require a project reactivation fee before work can resume.
36. Design Approval Finality
Once a design layout, homepage design, wireframe, or visual concept is approved by the Client, substantial redesign requests may incur additional charges.
37. Feature Freeze
Features approved in the quotation shall be considered final. Additional features requested later will require separate approval and payment.
38. Project Timeline Extension
Any delays caused by the Client may result in revised delivery schedules without penalty to the Developer.
39. Emergency Work Requests
Urgent requests, priority delivery, weekend work, or expedited development may be subject to additional charges.
40. Source Code Release Policy
Source code, databases, custom scripts, APIs, and development assets will only be released after full settlement of outstanding payments.
41. Database Ownership and Setup Charges
Database creation, setup, migration, optimization, backups, imports, exports, and configuration work are separate services and may incur additional fees.
42. Third-Party Subscription Responsibility
The Client is responsible for all recurring charges associated with hosting, domains, plugins, APIs, SaaS tools, cloud services, and third-party subscriptions.
43. Payment Delay Penalty
If payment remains outstanding beyond the agreed due date, the Developer reserves the right to pause work until payment is received.
44. Website Suspension for Non-Payment
If the website is hosted or managed by the Developer, services may be suspended for overdue payments after reasonable notice.
45. No Refund After Development Stage
Once design, development, coding, testing, content integration, or deployment activities have started, refunds shall not be issued under any circumstances except where required by law.
46. Client Review Period
The Client shall review submitted work within seven (7) business days. Failure to provide feedback may be deemed acceptance of the work delivered.
47. Intellectual Property Protection
The Client shall not reproduce, resell, distribute, copy, or claim ownership of unfinished project materials without written permission and full payment.
48. Developer Portfolio Rights
Core SEO Global reserves the right to showcase completed projects in its portfolio, marketing materials, and case studies unless otherwise agreed in writing.
49. Fraud Protection Clause
If the Developer reasonably suspects that the website may be used for fraudulent, deceptive, misleading, or unlawful activities, services may be terminated immediately without refund.
50. Full Acceptance of Terms
By signing the quotation, approving via email or WhatsApp, making payment, or allowing work to commence, the Client confirms that they have read, understood, and accepted all project terms, conditions, policies, and payment obligations.
